These Terms of Service (“Terms”) govern your access to and use of the American Business Network Member Portal (the “Portal”), including the website, member dashboard, Member Directory, Founder Showcase, Events system, Resource Library, and related features (collectively, the “Services”), operated by American Business Network (“ABN,” “we,” “us,” or “our”).
By creating an account or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
These Terms apply to the American Business Network Member Portal at americanbusinessnetwork.net. Our corporate website at americanbusinessnetwork.com is a separate property and may be governed by its own terms.
1. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Services. When you register, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
The Portal supports two primary account types:
- Member accounts, which provide access to the Member Directory, Events, Resource Library, Announcements, and the Founder Showcase.
- Founder accounts, intended for individuals submitting a business for consideration in the Founder Showcase, subject to the additional terms in Section 4 below.
ABN reserves the right to refuse registration, suspend, or terminate any account at its discretion, including for violation of these Terms.
2. Acceptable Use
You agree not to:
- Provide false or misleading information when registering or applying as a Founder
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to any part of the Services, other accounts, or systems
- Scrape, harvest, or collect information about other Members or Founders for purposes unrelated to legitimate use of the Portal
- Upload or transmit any content that is defamatory, infringing, fraudulent, or otherwise harmful
- Interfere with or disrupt the operation of the Services, including through the introduction of malicious code
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
3. Member Directory and Networking
The Member Directory allows Members to view certain profile information of other Members for networking purposes. By participating in the Directory, you consent to your profile information being visible to other logged-in Members. You agree to use any contact information obtained through the Portal solely for legitimate business networking purposes and not for unsolicited bulk communications.
4. Founder Showcase — Additional Terms
If you submit a Founder Application, you additionally agree that:
- All information, materials, and representations you submit, including financial figures, pitch decks, and business descriptions, are accurate to the best of your knowledge.
- Submission of a Founder Application does not guarantee approval, publication in the Founder Showcase, or any level of visibility, investment, or business outcome.
- ABN reserves sole discretion to approve, reject, or remove any Founder profile at any time, including after prior approval.
- ABN is not a broker-dealer, investment adviser, or placement agent, and does not facilitate, recommend, or guarantee any investment transaction. The Founder Showcase is a networking and informational feature only. Any investment discussions, negotiations, or transactions that occur between Members and Founders happen entirely outside of and independently from ABN, and ABN is not a party to any such transaction.
- You are solely responsible for complying with all applicable securities laws and regulations in connection with any fundraising activity, including any representations made to prospective investors.
ABN makes no representations or warranties regarding the accuracy of any Founder’s business claims, financial projections, or the merits of any investment opportunity presented through the Portal. Members are solely responsible for conducting their own due diligence before making any investment decision.
5. Events
Registering for an event through the Portal reserves your spot subject to capacity. ABN reserves the right to modify, reschedule, or cancel any event. Attendance at in-person events is subject to any additional terms communicated at the time of the event, and you attend at your own risk.
6. Resource Library and Content
Materials made available through the Resource Library are provided for the personal use of Members and Founders in connection with their ABN membership and may not be redistributed, resold, or used for purposes unrelated to the Portal without permission.
All content on the Portal, including but not limited to text, graphics, logos, and the overall design, is the property of ABN or its licensors and is protected by applicable intellectual property laws, except for content you submit yourself (such as your Founder profile materials), which remains your property, subject to the license below.
By submitting content to the Portal, including Founder application materials, profile information, and any other user-generated content, you grant ABN a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content within the Portal for the purpose of operating the Services.
7. Third-Party Services
The Portal integrates with or links to third-party services, including Google Calendar, Outlook/Microsoft 365, and Google Drive. Your use of these third-party services is subject to their own terms and is not governed by these Terms. ABN is not responsible for the availability, accuracy, or content of third-party services.
8. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ABN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
ABN DOES NOT ENDORSE ANY FOUNDER, BUSINESS, OR INVESTMENT OPPORTUNITY PRESENTED THROUGH THE PORTAL, AND MAKES NO REPRESENTATION AS TO THE SUITABILITY OF ANY OPPORTUNITY FOR ANY PARTICULAR MEMBER.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING ANY INVESTMENT DECISION OR BUSINESS RELATIONSHIP FORMED AS A RESULT OF USING THE FOUNDER SHOWCASE OR MEMBER DIRECTORY, EVEN IF ABN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify and hold harmless ABN and its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
ABN may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to ABN, other Members, or third parties. You may terminate your account at any time by contacting us.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be indicated by updating the “Last Updated” date above. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of [Insert State/Jurisdiction], without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the courts located in [Insert Jurisdiction].
